The terms governing use of our website and services.
Effective Date: March 28, 2026
Last Updated: August 25, 2026
These Terms of Service ("Terms") govern your use of the website at dkdynamicventures.com and any services provided by DK Dynamic Ventures LLC ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the website or submit information through it. If you are accepting these Terms for a business or other entity, you represent that you have authority to bind that entity to these Terms.
These Terms contain, in Section 15, a binding arbitration provision, class-action waiver, jury-trial waiver, and attorneys'-fees provision applicable to disputes to the extent permitted by law.
DK Dynamic Ventures LLC provides custom-for-you AI automation services, including but not limited to:
The Services may also include administrative document-scanning, document-status, workflow, reminder, notification, task-routing, dashboard, and related automation functions.
Specific services, deliverables, timelines, and pricing are defined in a separate Master Services Agreement or Statement of Work ("SOW") signed by both parties before work begins.
For paid Services, the executed Master Services Agreement, its Data Processing and Security Addendum, and the applicable Order Form or SOW (collectively, the "Service Agreement") exclusively govern the scope of Services, Fees, data processing, confidentiality, intellectual property, disclaimers, limitations of liability, termination, and dispute resolution. If these Terms conflict with a Service Agreement, the Service Agreement controls solely as to the paid Services covered by that Service Agreement.
Nothing in these Terms creates an obligation for DK to provide paid Services, reserve capacity, grant access to a System, or accept any proposed engagement. DK may decline a requested engagement, integration, configuration, or use case in its discretion, including where DK reasonably identifies a security, legal, ethical, operational, or reputational risk.
You must be at least 18 years of age to use this website, submit forms, opt in to SMS messaging, or engage our services. By using our website or services, you represent and warrant that you are at least 18 years old and have the legal capacity and authority to agree to these Terms. If you are under 18, you may not use our website or services.
You may use our website for lawful purposes only. You agree not to:
We may suspend, restrict, or terminate access to the website for any actual or suspected violation of these Terms, security risk, unlawful use, or interference with the website or related systems.
Our website includes an AI-powered chatbot that can answer questions, provide information about our services, and assist with booking discovery calls. By using the chatbot:
The public website chatbot is intended solely to provide general information about DK and to facilitate scheduling or preliminary communications. It does not establish a client relationship, create a services engagement, make a legal or professional determination, or authorize DK to begin work.
If Client engages DK for document-scanning or workflow Services under a Service Agreement, those Services are distinct from the public website chatbot. As more fully described in the Service Agreement, any AI-assisted document scan is an administrative convenience and visibility function only; it does not render legal judgment, identify or clear conflicts, calculate or docket legal deadlines with legal certainty, or replace Client's independent review. DK does not retain source matter documents as a system of record and retains only Client-approved derived data as permitted under the applicable Service Agreement.
When you book an appointment through our website:
Consent to receive SMS messages is not a condition of purchasing Services, except to the extent SMS functionality is itself part of the Services you request.
By providing your phone number and opting in to receive SMS messages from DK Dynamic Ventures LLC, you agree to the following:
Your SMS opt-in is voluntary. By opting in, you authorize DK to send recurring automated appointment, inquiry-related, and service-related text messages to the mobile number you provide. Consent is not a condition of purchase. You may opt out at any time by replying STOP; after you opt out, you may receive one final confirmation message.
Carrier disclaimer: Wireless carriers are not liable for delayed or undelivered messages. DK Dynamic Ventures LLC is not responsible for messaging failures caused by carrier network issues, device incompatibility, or changes to your mobile number or service plan. T-Mobile, AT&T, Verizon, and other carriers are not parties to this agreement and bear no responsibility for the messages sent through our services.
DK does not sell, rent, share, or disclose your SMS opt-in consent or mobile number to third parties for their own marketing or promotional purposes. DK may use service providers, including messaging platforms and communications providers, solely to transmit messages or provide related Services on DK's behalf.
Paid services are governed by a separate Master Services Agreement, Data Processing and Security Addendum, and applicable Order Form or Statement of Work that includes:
In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement will govern for the scope of that engagement solely with respect to the paid Services and matters covered by that Service Agreement.
No proposal, estimate, discovery call, demonstration, website content, chatbot response, or other pre-contract communication creates a binding obligation for DK to provide Services unless expressly incorporated into an executed Service Agreement.
Payment terms for services are specified in the applicable Service Agreement. General terms include:
For avoidance of doubt, the Service Agreement, not these website Terms, governs all Fees, invoicing, payment disputes, late charges, refunds, suspension rights, and cancellation rights for paid Services.
Our property: The DK Dynamic Ventures website, brand, logo, content, templates, and proprietary automation frameworks remain our intellectual property.
Your property: Your business data, client information, brand assets, and content remain your property at all times.
Work product: Subject to your full payment of applicable Fees, ownership and license rights in Client-specific configurations and content are governed exclusively by the applicable Service Agreement.
DK retains all right, title, and interest in its website, brand, systems, software, templates, workflows, frameworks, automation logic, prompts, methodologies, know-how, reusable materials, and other Provider Materials.
Except for the limited right to access and use the website for its intended lawful purpose, these Terms do not grant you any license, ownership interest, or other right in DK's intellectual property. You may not copy, reproduce, distribute, modify, display, publish, scrape, reverse engineer, or create derivative works from DK's website content or Provider Materials without DK's prior written consent, except as permitted by nonwaivable law.
We treat all client information as confidential subject to the applicable Service Agreement. We will not disclose your business data, client information, or system configurations to third parties without your written consent, except as required by law or as necessary to deliver the services using the third-party platforms described in our Privacy Policy or applicable Service Agreement.
For paid Services, the confidentiality, permitted-disclosure, data-processing, security, retention, and deletion obligations in the applicable Service Agreement control. Before a Service Agreement is executed, any separately executed nondisclosure agreement between you and DK controls confidentiality obligations for pre-engagement discussions.
To the maximum extent permitted by law:
The foregoing limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, statute, or otherwise, and even if DK has been advised of the possibility of the damages.
For paid Services governed by an executed Service Agreement, the limitation-of-liability provisions in that Service Agreement control.
Our website and services are provided "as is" and "as available." While we strive for accuracy and reliability, we do not warrant that:
DK further does not warrant that any website content, chatbot response, automated communication, AI-assisted output, integration, scheduling function, reminder, notification, or other website feature will be complete, current, accurate, secure, available, compatible with a particular system, or suitable for a particular purpose.
To the maximum extent permitted by law, DK disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, quiet enjoyment, and results.
Nothing in these Terms disclaims any warranty or right that cannot lawfully be disclaimed or limited.
You agree to indemnify and hold harmless DK Dynamic Ventures LLC, its Affiliates, and their respective officers, directors, managers, employees, contractors, agents, successors, and assigns from and against any third-party claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
DK may assume control of the defense of any matter subject to indemnification, and you agree to reasonably cooperate with DK's defense. You may not settle any claim in a manner that imposes liability, an admission, or an obligation on DK without DK's prior written consent.
For paid Services, indemnification obligations are governed by the applicable Service Agreement.
We reserve the right to suspend or terminate access to our website for any user who violates these Terms, creates a security risk, provides unlawful or unauthorized information, interferes with the website or related systems, or otherwise creates legal, operational, or reputational risk for DK. For paid services, termination is governed by the applicable Service Agreement, which requires 30 days written notice from either party for month-to-month Services, unless the applicable Service Agreement provides otherwise.
Termination or suspension of website access does not affect any provision of these Terms that by its nature should survive, including intellectual-property restrictions, disclaimers, indemnification, limitation of liability, dispute resolution, and accrued rights or obligations.
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Before initiating arbitration or a court proceeding, a party asserting a dispute shall provide the other party written notice describing the dispute in reasonable detail and shall attempt in good faith to resolve the dispute for at least fifteen (15) business days after the notice is received.
Except as expressly provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the website, the chatbot, or the parties' relationship shall be resolved by final and binding arbitration administered by JAMS under its then-current Comprehensive Arbitration Rules and Procedures, before one arbitrator experienced in commercial-contract disputes. If JAMS is unavailable or unwilling to administer the arbitration, the arbitration shall be administered by the American Arbitration Association under its then-current Commercial Arbitration Rules.
The arbitration shall take place in Leon County, Florida, unless the parties agree otherwise in writing or the arbitrator determines that a remote proceeding is appropriate. The arbitrator may award any remedy available in a court of competent jurisdiction, subject to the limitations and exclusions in these Terms. Judgment on the award may be entered in any court having jurisdiction.
To the fullest extent permitted by applicable law, you and DK knowingly and voluntarily waive the right to a trial by jury. You and DK further agree that any arbitration, litigation, or other proceeding shall be conducted only on an individual basis and not as a class, mass, collective, consolidated, or representative action.
Notwithstanding the arbitration requirement, either party may seek temporary, preliminary, or other provisional equitable relief in a state or federal court located in Leon County, Florida where reasonably necessary to protect confidential information, intellectual property, data, payment rights, or other rights pending arbitration.
In any arbitration, litigation, collection action, or other proceeding arising out of or relating to these Terms, the prevailing party is entitled to recover its reasonable attorneys' fees, expert fees, arbitration fees, court costs, and other reasonable costs and expenses incurred, in addition to any other relief awarded.
For paid Services governed by an executed Service Agreement, the dispute-resolution, arbitration, venue, and attorneys'-fees provisions in that Service Agreement control.
This Section 15 survives termination of these Terms and cessation of your use of the website.
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of our website after changes are posted constitutes your acceptance of the updated Terms, to the extent permitted by applicable law.
If a change materially affects your rights or obligations, DK will provide additional notice when required by applicable law. Changes will apply prospectively from the stated effective date and will not alter any dispute that arose before the effective date, except to the extent permitted by applicable law.
